Key Bank OfficersJohn F. McGill, Jr. will serve as Chairman of the Board of Directors of the Bank. Mr. McGill previously served as Chairman and Chief Executive Officer of Roxborough Manayunk Bank and its holding company, Thistle Group Holdings Company, until its acquisition by Citizens Financial Group in January 2004. Mr. McGill served in various positions with Roxborough Manayunk Bank beginning in 1984 and served as President from 1997 until 2004, where he grew the bank from $300 million in assets and six branches to $850 million in assets and 16 branches prior to its acquisition. Christopher P. McGill will serve as a director and President and Chief Executive Officer of the Bank. Mr. McGill served as Senior Vice President, Executive Banker with the Professionals Banking Group in the Mid-Atlantic Region for Citizens Bank of Pennsylvania from January 2004 until July 2005. From 1991 until January 2004, Mr. McGill served as Senior Vice President, Private Banking for Roxborough Manayunk Bank, where he successfully developed, implemented and tracked deposit and loan goals through its 16 branch network using branch managers, business development officers and lenders. Previously, he was co-chief lending officer managing a group of 25 employees for all aspects of residential, consumer and commercial lending. Mr. McGill is a board member of the North Light Community Center, a United Way affiliated community center serving the Northwest Philadelphia region through sports, living arts, day care, senior assistance computer training and related social workshops, and he is Co-President of the Philadelphia chapter of Loyola University alumni association. Charles A. Murray will serve as a director of the Bank. Mr. Murray is a private investor who supplies capital, advisory and managerial support and strategic relations to early stage companies using the e-commerce environment to enhance their business-to-business relationship. Mr. Murray is also the owner of Rhodyo Stables, a thoroughbred racing operation that trains, races and breeds thoroughbred horses throughout the Mid-Atlantic region. Previously, Mr. Murray served as Chief Executive Officer of Actium Corporation, a firm that provided expert systems integration and consulting services to help clients solve business critical, time sensitive technology needs, from 1987 until its sale in 1999. He also previously served in sales and management positions for several technology companies, including Honeywell and Digital Equipment Corporation. Mr. Murray serves on the Board of Directors of CampusParty, E Path Learning and Boathouse Row Sports and previously served as a director of Roxborough Manayunk Bank and its holding company, Thistle Group Holdings Company, until its acquisition by Citizens Financial Group in January 2004. James C. Hellauer will serve as a director of the Bank. Since 1989, Mr. Hellauer has been the owner of James C. Hellauer & Associates, a management advisory organization, located in Wayne, Pennsylvania and Palm Beach Gardens, Florida. Since 1996, he has been an Executive Director of the Colmen Group, a company specializing in management advisory services, turnarounds and investment banking. Previously, he served as a director of Roxborough Manayunk Bank and its holding company, Thistle Group Holdings Company. Mr. Hellauer currently serves on the Boards of Tasty Baking Company, PMA Capital Corporation and The Philanthropic Insurance Company. G. Daniel O’Donnell will serve as a director of the Bank. Mr. O’Donnell is a partner with the law firm Dechert, LLP and he is the chair of the firm’s private equity group. He has overall responsibility for many of the firm’s most active private equity clients. He serves on Dechert’s Policy Committee. Mr. O’Donnell’s practice focuses on mergers and acquisitions, corporate restructurings, and venture capital transactions. Mr. O’Donnell’s firm acted as counsel to Roxborough Manayunk Bank in its sale to Citizens Financial Group. Jerry L. Cotlov will serve as a director and Executive Vice President, Chief Operating Officer and Chief Lending Officer of the Bank. Mr. Cotlov previously served as Senior Vice President and Team Leader for the Commercial Real Estate Group in the Mid-Atlantic Region of Citizens Bank of Pennsylvania from January 2004 until July 2005. Mr. Cotlov served as Senior Vice President and Chief Lending Officer (Co-Chief Lending Officer prior to 2003) of Roxborough Manayunk Bank from January 1999 until its acquisition by Citizens Financial Group in January 2004, where he managed all aspects of the 25 person loan department with emphasis on commercial real estate and construction loans. Previously, Mr. Cotlov served as Vice President and Director of Commercial Lending for Third Federal Savings Bank, Newtown, Pennsylvania, from 1995 until January 1999. Prior thereto, he held various positions with Wilmington Savings Fund Society, Wilmington, Delaware, First American Savings FA, Jenkintown, Pennsylvania, and the Philadelphia regional office of the Federal Home Loan Bank Board (FSLIC). Mr. Cotlov serves on the Board of Directors of the Building Industry Association of Philadelphia, the Home Builders Association of Bucks/ Montgomery Counties, the Philadelphia Development Partnership, Community Capital Works, Inc. and the Pennsylvania Energy Development Authority of the Commonwealth of Pennsylvania. Susan B. Look, CPA, will serve as the Chief Financial Officer of the Bank. Ms. Look was previously with Prudential Bancorp, Inc. of Pennsylvania from July 2004 to October 2005. After assisting with the company’s reorganization into a mutual holding company form and public stock offering, her primary focus was accounting and financial reporting. Prior to joining Prudential, Ms. Look was a senior manager at Deloitte & Touche LLP in the audit and assurance division. During her thirteen years at Deloitte, she specialized in financial institutions working on both public and non-public clients ranging in size from $50 million to over $1 billion in total assets. Ms. Look is a certified public accountant and is an active member of the American Institute of Certified Public Accountants and the Pennsylvania Institute of Certified Public Accountants. She also is a member of the Greater Philadelphia Chapter of the Financial Managers Society. |
